1. GRANT OF LICENSE

This Software License Agreement ("Agreement") is between you ("Licensee") and Orbiq ("Licensor") for the use of Orbiq software ("Software"). By installing, copying, or using the Software, you agree to be bound by the terms of this Agreement.

2. LICENSE TYPES AND PRICING

2.1 Personal License (Free)

You may use the Software free of charge for:

• Personal, non-commercial use on your personal devices
• Educational purposes in non-commercial educational institutions
• Evaluation and testing purposes

2.2 Professional License ($20.00 USD)

A Professional License is required for:

• Use in any commercial environment or business setting
• Use by employees, contractors, or agents of a commercial entity
• Use that generates revenue or supports revenue-generating activities
• Use in government agencies or non-profit organizations
• Access to Orbiq Pro features including workspace collections, advanced hotkeys, and professional interface

3. PERMITTED USES

Subject to the terms of this Agreement, you may:

• Install and use the Software on devices you own or control
• Make backup copies for archival purposes
• Transfer the Software to another device, provided you remove it from the original device

4. RESTRICTIONS

You may NOT:

• Distribute, sell, lease, rent, or sublicense the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove or modify any copyright notices or licensing information
• Use the Software for illegal purposes or in violation of any laws
• Use a Personal License for commercial purposes

5. PROFESSIONAL LICENSE TERMS

5.1 Payment

Professional License fees are due upon installation and use in a commercial environment. Payment grants a perpetual license for the current version with access to Pro features.

5.2 License Compliance

Professional users must maintain valid licenses for all installations and comply with all terms herein. Unauthorized use may result in immediate termination and legal action.

5.3 Volume Licensing

Organizations requiring multiple licenses may contact Licensor for volume pricing.

5.4 Audit Rights

Licensor reserves the right to audit Professional License usage upon reasonable notice to ensure compliance.

6. INTELLECTUAL PROPERTY

The Software is protected by copyright laws and international copyright treaties. Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights.

7. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. LIMITATION OF LIABILITY

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. TERMINATION

This license is effective until terminated. It will terminate automatically if you fail to comply with any term of this Agreement. Upon termination, you must destroy all copies of the Software.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Pike County, Kentucky.

11. DATA AND PRIVACY

The Software may collect anonymous usage statistics to improve functionality. No personally identifiable information is collected without explicit consent. See our Privacy Policy for details.

12. MODIFICATIONS

Licensor reserves the right to modify this Agreement with 30 days notice. Continued use after modifications constitutes acceptance of new terms.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements, understandings, and communications.
